Terms of Service

Welcome to AI Retail OS (hereinafter "the Platform"). These Terms of Service (hereinafter "the Terms") constitute the complete agreement between you and the Platform. By using the Platform, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Service Description

AI Retail OS provides a multi-tenant retail SaaS platform with features including but not limited to:

  • Product Management: product listing, inventory management, and category management.
  • Order Processing: order management, payment processing, returns, and refunds.
  • Live Commerce: integration with Facebook, LINE, and TikTok live platforms, supporting keyword-based ordering.
  • AI-Assisted Features: smart product listing, AI customer service, product description generation, and customer behavior analysis.
  • Membership Management: CRM features, RFM analysis, member segmentation, and remarketing tools.
  • Logistics Integration: integration with logistics providers to support shipping and tracking.
  • Independent Storefront: a dedicated online store page for each merchant.

2. Account Registration and Management

  • You must provide true, complete, and up-to-date information when registering.
  • Each user may only register one account unless authorized in writing by the Platform.
  • You are fully responsible for all activities on your account, including password security.
  • If you discover unauthorized use of your account, you must notify the Platform immediately.
  • The Platform may, at its reasonable discretion, suspend or terminate accounts that violate these Terms.

3. Fees and Payment

  • The Platform's basic features are provided free of charge.
  • Shipping services incur a handling fee of NT$10 per shipment (first 30 per month are free).
  • AI features are billed by usage — see the pricing page for details.
  • Fee adjustments will be communicated 30 days in advance.
  • Fees already incurred are non-refundable unless required by law.
  • If outstanding fees remain unpaid, the Platform may suspend some or all services.

4. Merchant Responsibilities

As a merchant user of the Platform, you agree to:

  • Ensure that goods sold comply with applicable laws and regulations, and not sell prohibited items.
  • Accurately describe product contents and not make false or misleading product representations.
  • Comply with applicable consumer protection laws and regulations.
  • Properly handle customer orders, shipping, and after-sales service.
  • Handle your own tax reporting obligations for your products.
  • Obtain and maintain any licenses or permits required to sell specific products.
  • Not use the Platform for money laundering, fraud, or other illegal activities.

5. Customer Data and Privacy

  • Personal data provided by your customers through your store is jointly managed by you and the Platform.
  • You must comply with applicable personal data protection laws and handle customer personal data appropriately.
  • Without customer consent, you may not use their personal data for purposes unrelated to their orders.
  • CRM and marketing tools provided by the Platform must be used within the bounds of the law.

6. Third-Party Platform Integration

  • The Platform supports connecting to third-party platforms such as Facebook, LINE, and TikTok.
  • When using these integrations, you must also comply with each platform's terms of service and developer policies.
  • Changes to third-party platform APIs, service disruptions, or policy adjustments may affect corresponding Platform features. The Platform will make best efforts but cannot guarantee immediate fixes.
  • You may revoke third-party platform authorization at any time in your store settings.
  • The Platform is not responsible for feature limitations or unavailability caused by third-party platform policy changes.

7. AI Feature Usage Rules

  • AI-generated content (product descriptions, customer service replies, etc.) is for reference only. You should review it before publishing or sending.
  • The Platform does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
  • You are fully responsible for AI-generated content that you publish.
  • It is prohibited to use AI features to generate illegal, discriminatory, harmful, or infringing content.
  • The availability and quality of AI features may vary due to technical limitations or upstream service provider adjustments.

8. Intellectual Property

  • The Platform's software, designs, trademarks, and related technologies are owned by or licensed to the Platform.
  • Intellectual property rights for product images, descriptions, and other content you upload to the Platform remain yours.
  • You grant the Platform a non-exclusive, royalty-free license to use and display your uploaded content to the extent necessary to provide the service.
  • You warrant that your uploaded content does not infringe any third party's intellectual property rights.
  • Upon receiving an infringement notice, the Platform may remove allegedly infringing content in accordance with applicable law and notify you.

9. Prohibited Activities

When using the Platform, the following activities are prohibited:

  • Engaging in any activity that violates laws or regulations.
  • Selling counterfeit goods, prohibited items, or products that infringe others' rights.
  • Sending spam or unsolicited commercial messages.
  • Attempting to intrude, hack, or disrupt the Platform's system security.
  • Using automated tools (crawlers, bots, etc.) to massively extract or disrupt Platform data and services.
  • Impersonating others or misrepresenting your relationship with any person or organization.
  • Exploiting Platform vulnerabilities or errors for improper gain.
  • Circumventing or attempting to circumvent the Platform's fee collection mechanisms.

10. Service Availability and Maintenance

  • The Platform strives to maintain service stability but does not guarantee 100% uninterrupted or error-free service.
  • Planned maintenance will be communicated in advance; emergency maintenance will be explained afterward.
  • The Platform is not liable for service disruptions caused by force majeure (natural disasters, cyberattacks, telecommunications outages, etc.).

11. Limitation of Liability

  • The Platform provides services on an "as is" and "as available" basis, without any express or implied warranties.
  • The Platform does not warrant that the service will meet all your requirements, or that it will be uninterrupted, timely, secure, or error-free.
  • To the maximum extent permitted by applicable law, the Platform is not liable for:
    • Indirect losses, loss of profits, or business interruption resulting from use of or inability to use the service.
    • Losses caused by third-party platform (Facebook, LINE, TikTok, etc.) service disruptions or policy changes.
    • Damages arising from transaction disputes between customers and merchants.
    • Damages arising from errors or inappropriateness of AI-generated content.
  • The Platform's maximum liability in any case shall not exceed the total fees you paid to the Platform in the 12 months preceding the incident.

12. Service Changes and Termination

  • The Platform reserves the right to modify, suspend, or terminate any service feature.
  • Significant feature changes or termination will be communicated 30 days in advance.
  • You may terminate your use and delete your account at any time.
  • Accounts terminated due to violation of these Terms are not eligible for refunds.
  • After account termination, the Platform will handle your data in accordance with the Privacy Policy.

13. Indemnification

You agree to indemnify and hold harmless the Platform and its affiliates, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, illegal conduct, or infringement of third-party rights.

14. Governing Law and Jurisdiction

  • These Terms are governed by and construed in accordance with applicable local laws.
  • Any disputes arising from these Terms or the Platform's services shall first be resolved through good-faith negotiation.
  • If negotiation fails, the parties agree to submit to the jurisdiction of courts of competent jurisdiction.

15. Amendments

The Platform may amend these Terms from time to time. Amended Terms will be published on this page; significant amendments will be communicated via Platform notifications or email. Continued use of the Platform indicates your acceptance of the amended Terms.

16. General Provisions

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
  • The Platform's failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.
  • These Terms constitute the entire agreement between you and the Platform regarding the service, superseding all prior oral or written agreements.
